Sponsor Terms and Conditions

TERMS: This contract is between 50/50 Women on Boards, Inc., referred to herein as “50/50WOB”, hosting The Global Summit Breakfast of Corporate Champions, and the City/State Conversations on Board Leadership, known as the “Events” and the party entering into this agreement to sponsor the Event, referred to as the “Sponsor” of the Event. Collectively 50/50WOB and the Sponsor are referred to as the “Party” or “Parties.”

PAYMENT: Sponsor shall pay the Sponsor fee to 50/50WOB immediately by credit card or by invoice. Invoice payments are due within 30 (thirty) days of receipt from 50/50WOB. The sponsor acknowledges and agrees that all payments made to 50/50 Women on Boards, Inc. shall be in USD currency. Any currency conversion fees or associated charges shall be the responsibility of the sender.  Upon accepting these terms, and finalizing registration, a confirmation email with a receipt of purchase will be sent to the email account used to register for the Event. 50/50WOB reserves the right to refuse the Sponsor’s participation in the Events if Sponsor is in arrears of any payment due to 50/50WOB. If Sponsor fails to make the required payment in a timely manner, 50/50WOB may terminate the contract and Sponsor’s participation in the Events without obligation to refund monies previously paid and has the right to omit the Sponsor, not paid in full, from the official Event website pages, online event, and social media platforms.

SPONSOR CANCELLATION: If Sponsor desires to defer the contract, Sponsor may only do so by giving written notice to 50/50WOB with evidence of receipt. In such event, Sponsor revenue will be deferred to the following year. Sponsor understands that the benefits may slightly change year-over-year. 50/50WOB and Sponsor will work together in good faith to assign benefits based on the sponsorship payment.

CHANGES TO THE EVENTS: If for any reason beyond 50/50WOB’s control (e.g., fire, casualty, flood, epidemic, earthquake, explosion, accident, blockage, embargo, inclement weather, governmental restraints, act of public enemy, riot or civil disturbance, impairment or lack of adequate transportation, technology, power or connectivity outages, inability to secure sufficient labor, technical or other personnel, municipal, state or federal laws, pandemic or act of God), the Event, or any part thereof, is prevented from being held or interrupted, 50/50WOB may postpone or cancel the Event. In such event, 50/50WOB shall not be responsible for delays, damage, loss, increased costs, or other unfavorable conditions arising by virtue thereof, and Sponsor waives claims for damage and/or liability arising there from.

POSTPONEMENT OF EVENT: If for any reason the dates of the Event should be changed, no refund will be due to Sponsor. 50/50WOB will fulfill any Sponsor benefits in relation to the Events on the new date. 50/50WOB shall not be financially liable or otherwise obligated if the Event is postponed. 50/50WOB and Sponsor will work together in good faith to assign benefits based on the sponsorship payment.

LIMITATION OF LIABILITY & INDEMNITY:  Neither 50/50WOB nor any of its officers, agents, employees or other representatives, shall be held liable for, and each is hereby released from any damage, loss, harm, or injury to the person or property of Sponsor or any of its visitors, officers, agents, employees or other representatives, resulting from Sponsor’s participation in the Event, licensing and/or use of Sponsorship space hereunder, or the failure of 50/50WOB to make available the Sponsorship space/Sponsorship or hold the Events, however caused, including that caused by 50/50WOB’s, or its officers’, agents’, employees’ or other representatives’ negligence. Sponsor shall indemnify, defend, and hold harmless 50/50WOB and its respective directors, officers, employees, agents and representatives, from, any and all claims, demands, suits, liability damages, loss, costs, attorneys’ fees, and expenses of any kind which might result or arise from Sponsor’s participation in the Events, Sponsor’s licensing and/or use of Sponsorship space hereunder, or any action or failure to act on the part of Sponsor or its officers, agents, employees, or other representatives. Sponsor represents and warrants that it complies with all Event rules & regulations; and that it holds the necessary rights to permit the use of the logo and other materials it provides to 50/50WOB for the purpose of this contract; and that the use, reproduction, distribution, or transmission of these materials will not violate any laws or any rights of any third parties, including, but not limited to, such violations as infringement or misappropriation of any copyright, patent, trademark, trade secret, music, image, or other proprietary or property right, false advertising, unfair competition, defamation, invasion of privacy or rights of celebrity, violation of any anti- discrimination law or regulation, or any other right of any person or entity.

COPYRIGHTED MATERIALS: Sponsor shall not violate any copyrights with respect to writings, music or other material used by it at the Events or at any affiliated function and assumes sole liability and responsibility for the use and display of all copyrighted materials at the Events and shall obtain any and, all necessary licenses.

LISTINGS AND PROMOTIONAL MATERIALS: By participating in the Events, the Sponsor grants to 50/50WOB a limited non-exclusive license, during the term of this agreement, to display and reproduce the name, trade names and product names of Sponsor in any of 50/50WOB’s directory (print, online or other media) listing the Sponsoring companies at the Events and to use such names in Events promotional materials. 50/50WOB shall not be liable for any errors in listings or descriptions or for omissions. Sponsor’s items and personnel appearing during the Events may be included in Event image captures, photographs or screen shots and used for the Events promotional purpose. Notwithstanding the foregoing, or any other provision in this Agreement, the Parties hereby agree and acknowledge that each Party retains exclusive ownership of any of its materials, content, or information it provides under this Agreement, including without limitation, all intellectual property rights in and to its trademarks, logos, and confidential information. All benefit terms as outlined above must comply with this provision. This provision will survive the termination or expiration of this Agreement. The rights granted pursuant to this Section may not be licensed, transferred, or assigned to a third party.

ANTI-BRIBERY: The Sponsor, its employees, officers, directors, partners, stockholders, subcontractors, and agents, shall not, directly, or indirectly, make any payment, or offer or transfer anything of value, or agree or promise to make any payment or offer or transfer anything of value, directly or indirectly, for any improper purpose or to improperly influence any party. Each Party certifies that it is in compliance, and shall remain in compliance, with all applicable anti-corruption laws, including but not limited to the U.S. Foreign Corrupt Practices Act and the U.K. Bribery Act. Each Party shall immediately notify the other party if it fails to meet any of its obligations in this paragraph. In the event of a breach of this paragraph, each party further agrees to provide any, and all information requested by the other party to support an investigation related to the breach. The Sponsor understand that a breach of this paragraph will be deemed to be a material breach of the Agreement, 50/50WOB will have the right to terminate the Agreement with immediate effect, exempt of liability or losses.

EQUAL OPPORTUNITY: Each Party represents that its performance under this Agreement does not and will not violate, infringe, or conflict in any manner with any right of any other entity.

AGREEMENT TO TERMS, CONDITIONS AND RULES: Sponsor agrees to observe and abide by the foregoing terms, conditions, and rules, and by such reasonable additional terms, conditions and rules made by 50/50WOB from time to time for the efficient and safe operation of the Events all of which constitute a part of this Agreement. Sponsor has carefully read and fully understands the Terms and Agreements and Sponsor is freely, knowingly, and voluntarily entering into this Agreement.

NO WAIVER: The failure of either Sponsor or 50/50WOB to enforce any of their rights under this contract shall not constitute a waiver or modification of this contract, and either the Sponsor or 50/50WOB may, within the time provided by applicable law, take appropriate action to enforce any such rights. The rights of either Party under this contract shall not be deemed waived except as specifically stated in writing and signed by an authorized representative of the Party whose rights are being waived.

SEVERABILITY: If any term or provision of this contract shall to any extent be held invalid or unenforceable, the remaining terms and provisions of this contract shall not be affected thereby, but each term and provision hereunder shall be valid and enforced to the fullest extent permitted by law.

MODIFICATIONS/ASSIGNMENT: No supplement, assignment, amendment, or modification of this contract shall be effective unless it is in writing and signed by both Sponsor and 50/50WOB.

AMENDMENTS: We may make amendments to these Terms from time to time. Any such amendments shall be posted on the Event website at https://5050wob.com/sponsor-terms-conditions/. Amendments will be effective immediately on the amended Terms being posted on the Online Event Platform and you will be deemed to have accepted them if you attend the Event.

ENTIRE AND BINDING CONTRACT: This contract constitutes the entire contract between 50/50WOB and Sponsor with respect to the Events and supersedes all prior written and oral contracts or statements not referenced herein. No representation, statement, condition, warranty, or contract not contained or referenced in this contract, or modification to this Contract shall be valid and binding on the parties unless set forth in writing and signed by both parties.
