Kristin H. Darby is a nationally recognized technology executive and board director with more than 25 years of experience driving enterprise transformation across government, healthcare, and regulated industries. She is widely regarded for her leadership in artificial intelligence governance, cybersecurity oversight, and digital modernization that brings a unique combination of operational scale, financial acumen, and governance expertise highly relevant to corporate boards. Ms. Darby currently serves as Chief Information Officer for the State of Tennessee, one of the largest U.S. state governments, where she leads enterprise technology strategy, cybersecurity, and digital services supporting more than 7 million citizens. She oversees a $500 million operating budget and an active portfolio of initiatives totaling approximately $1 billion. In this role, she advises executive leadership on technology risk, AI strategy, cyber resilience, and enterprise transformation, which are critical areas of board focus in today’s environment. A recognized leader in emerging technology governance, Ms. Darby serves as Co-Chair of both the Tennessee AI Council and the Tennessee Cybersecurity Council, where she helps shape statewide policy, responsible AI adoption, and critical infrastructure protection. Ms. Darby brings significant public and private company governance experience. She currently serves as an Independent Director for the Federal Home Loan Bank of Cincinnati, a $160+ billion financial institution, where she chairs the Business, Operations & Technology Committee and serves on the Risk, Human Resources & Compensation, and Nominating & Governance Committees. She is a financial expert and seasoned committee leader, with prior service as Audit Committee Chair for Addgene and board roles across nonprofit and mission-driven organizations. Previously, Ms. Darby served as Chief Information Officer of HarmonyCares, leading enterprise transformation across a multi-state healthcare platform, and as Enterprise CIO of Envision Healthcare, an $8 billion national organization. She has held multiple CIO roles across complex, highly regulated environments, consistently delivering modernization, growth enablement, and operational scale. A Certified Public Accountant (CPA) and Certified Fraud Examiner (CFE), Ms. Darby brings strong financial, audit, and risk oversight capabilities to the boardroom.
