Victoria Harvey is an award-winning legal executive with over 25 years of experience assisting national multi-site healthcare, restaurant, food manufacturing, and non-profit sectors with legal/regulatory guidance. She has established a successful track record as a go-to business leader who enables business goals while balancing risk. Her broad background includes healthcare compliance, effectively handling complex insurance/risk issues, experience in handling high-risk regulatory and legal matters, fast-paced M&A transactions/ integrations, and management of complex human resources and executive issues. She also brings strong corporate governance experience through her work as a board member and Corporate Secretary of a regulated health plan, and Corporate Secretary for a SEC Reporting Company.

Currently, Victoria is a Senior Vice President and Chief Legal Officer of Smile Brands Inc. (“Smile”), a $900 million revenue dental service organization – providing business support services to 75+ dental groups operating 650 retail dental offices in 29 states and 7500 employees. In this role, Victoria oversees all aspects of legal, compliance, data privacy, risk management, and government affairs departments. She oversees the ESG, Audit Committee, and Management Compliance Committee. Victoria has also led the company through three debt/refinancing transactions and a sale/change of equity sponsor. Since 2017, she has navigated the enterprise through fast-paced M&A growth (300 locations), including due diligence and integration. Victoria was instrumental in securing a successful resolution with an insurance carrier concerning property damage to over 50 locations. In 2020, Victoria was a member of the Crisis Management Team which successfully navigated the enterprise during the COVID-19 health crisis and re-emergence. She has also guided the enterprise through a ransomware cyber-attack and subsequent governmental investigations and consumer class actions.

During her career, Victoria has also held a position as the Senior Vice President and General Counsel for one of the largest full-service restaurant companies ($500 million in revenue and 200+ owned locations and 20+ franchised locations) and a food manufacturing facility. She successfully managed multiple wage & hour class actions, and product recalls. She assisted with two debt/refinancing transactions and changes in equity sponsors and was a key member of the management team who guided the company through Chapter 11 debt restructuring and a 363 sale.

Victoria started her legal career at one of Los Angeles’ oldest law firms, Loeb & Loeb, where she provided legal services to public and privately held companies in the non-profit, health, entertainment, and professional services sectors.

In 2016, Victoria was awarded General Counsel of the Year – Private Company by the Orange County Business Journal; in 2013, she was recognized by the California Daily Journal as one of the top in-house attorneys. Her legal team has been recognized multiple times with nominations as a legal department of the year. She is a Director and officer of Smiles for Everyone Foundation (the largest international dental provider) and a California Knox Keene Health Plan. She has served as the President and a Director of the Association of Corporate Counsel-SoCal Chapter Board. Victoria is a sought-after speaker on the topics of culture, building a successful legal team, compliance, diligence, and managing complex litigation.

Victoria received her J.D., from Whittier Law School, Los Angeles, CA, where she graduated Valedictorian, summa cum laude; and received her B.A., from California State University, Fullerton, Political Science with a minor in Criminal Justice. Victoria is passionate about fitness and wellness, including meditation, daily workouts, and cooking gourmet “good for you” meals. In her free time, she enjoys watching her younger son perform on stage, and her other son row for the UCLA crew team.
